These Terms of Service (the “Terms”) form an agreement between you and Ventureship (“Ventureship”, “we”, “us” or “our”) governing your access to and use of SME AI, including Samantha, our websites, workspaces, partner portal, embeds and related services (together, the “Services”).
By creating an account, clicking to accept, or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you confirm that you have authority to bind that organization, and “you” refers to that organization.
You must be at least 18 years old and able to form a binding contract to use the Services. You are responsible for the information in your account, for keeping your sign-in credentials confidential and for all activity under your account. Tell us promptly through our contact page if you suspect unauthorized access.
SME AI provides an AI concierge and sales assistant that can communicate with your customers on your behalf, together with tools for campaigns, attribution, payments, handoffs, customer records and partner programs. Features may vary by plan and may change over time as we improve the Services.
Samantha generates responses automatically based on the information you provide and the context of each conversation. While we work hard to make her accurate and helpful, automated responses can contain mistakes. You are responsible for reviewing how Samantha represents your business and for the offers, prices and commitments you configure.
When you use the Services, you agree that:
Some features are available free of charge, and others require a paid plan. Applicable fees, billing periods and any usage-based charges will be presented to you before you commit. Unless stated otherwise, fees are non-refundable except where required by law.
Where the Services help you collect payments from your customers, those payments are processed by third-party payment providers under their own terms. You are responsible for your customers’ refunds, chargebacks and disputes relating to your products and services.
If you participate as a setter, affiliate or other referral partner, additional program terms presented when you join will apply, including how leads are attributed and how commissions are calculated and paid. We may withhold or reverse commissions associated with fraud, abuse, refunds, chargebacks or breaches of these Terms.
You retain ownership of the content and data you submit to the Services, including your knowledge base materials and customer records (“Your Content”). You grant us a limited license to host, process, transmit and display Your Content as needed to provide, secure and improve the Services for you.
We handle personal information as described in our Privacy Policy and, where applicable, our Data Processing Addendum.
The Services, including software, designs, the SME AI and Samantha names and logos, and all related intellectual property, are owned by Ventureship or its licensors. Except for the rights expressly granted in these Terms, no rights are transferred to you. You may not copy, modify, reverse engineer or create derivative works of the Services, or use them to build a competing product.
If you send us feedback or suggestions, we may use them without obligation to you.
The Services may connect to third-party products, such as calendars, payment providers or tools you choose to integrate. Your use of those products is governed by their own terms, and we are not responsible for them.
You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, if your use creates risk or legal exposure for us or others, or if required by law. Where reasonable, we will give notice and an opportunity to resolve the issue first. Provisions that by their nature should survive termination will survive.
To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any particular sales, revenue or business results.
To the fullest extent permitted by law, Ventureship will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Services will not exceed the amounts you paid us for the Services in the twelve months before the event giving rise to the claim.
You will defend and indemnify Ventureship against claims arising from Your Content, your products and services, your instructions to Samantha, or your breach of these Terms or applicable law.
We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you. Continuing to use the Services after changes take effect means you accept the updated Terms.
These Terms are the entire agreement between you and us about the Services and supersede prior agreements on the same subject. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. Questions about these Terms can be sent through our contact page.
